Vendor Certification Agreement
North American Certification Group
(Operating Platform: NAcertify.org)
This Vendor Certification Agreement (“Agreement”) is entered into between North
American Certification Group (“NACG,” “we,” or “us”) and the undersigned business
(“Vendor,” “you”).
By applying for or using NACG certification, Vendor agrees to the terms below.
- Purpose of Certification
NACG provides independent certification and verification programs, including but not limited to Halal, Vegan, and Venue Verification programs. Certification confirms that, at the time of review, Vendor met NACG’s applicable program standards based on information provided by Vendor. Certification is not a warranty, guarantee, or product endorsement.
- Certification Term
All certifications are valid for twelve (12) months from the date of issuance unless suspended or revoked earlier.
- Automatic Renewal & Fees
- Certification automatically renews annually unless Vendor cancels their renewal in writing prior to renewal date.
- Vendor authorizes NACG to automatically charge the payment method on file unless alternative arrangements are approved.
- Failure to pay may result in suspension or revocation.
- Use of Certification Seals & Certificates
Upon approval, Vendor is granted a limited, non-exclusive, revocable license to use NACG-issued certification seals and certificates:
- Only for approved products, facilities, or services
- Only during the valid certification period
- Only in NACG-approved formats, no modifications or sublicensing
All seals, logos, and certificates remain the intellectual property of NACG.
- Certification Seal Guidelines
North American Certification Group issues Live Certification Seals—secure, hosted digital badges that reflect a business’s current certification status in real time. Upon approval, Vendor receives access to their Live Certification Seal.
- This seal is licensed (not sold)
- Seal remains active only while certification is valid and in good standing.
- Status updates automatically if anything changes
- Vendor Responsibilities
Vendor agrees to:
- Provide accurate and complete information
- Maintain compliance with applicable NACG standards
- Immediately notify NACG in writing of any material changes, including:
o Ingredients, sourcing, or formulations
o Manufacturing or processing facilities
o Suppliers or subcontractors
o Ownership, management, or operations
Failure to disclose changes may result in immediate revocation.
- Audits, Reviews & Enforcement
NACG may request updated documentation, corrective actions or conduct reviews as reasonably necessary for certification or renewals. NACG may suspend or revoke certification or renewals for non-compliance, misuse, misrepresentation, failure to pay fees, or as it sees fit.
- Marketing
Vendor who participates in the Premium plan, authorizes NACG to market Vendor online or on its social media or any of its marketing materials during the certification term.
- Upgrades & Program Changes
Vendors wishing to upgrade their plan or certification scope must email info@nacertify.org. Additional review and fees may apply.
- No Liability & Indemnification
- NACG is not liable for Vendor misrepresentation, regulatory violations, consumer claims, or third-party reliance.
- NACG’s total liability shall not exceed fees paid by Vendor in the prior 12 months.
- Vendor agrees to indemnify and hold harmless NACG from claims arising from Vendor’s products, services, or misuse of certification.
- Confidentiality and Data Use
NACG does not sell Vendor information to third parties. Vendor information is used and disclosed only as reasonably necessary to provide certification, verification, compliance, inspection, and related services, or as required by applicable law.
- Termination
Upon expiration, suspension, revocation, or termination, Vendor must immediately stop using all NACG seals, certificates, and claims.
- Governing Law
This Agreement is governed by the laws of the jurisdiction in which NACG is organized.
- Entire Agreement
This Agreement, together with NACG’s Terms & Conditions, Program Standards, and Policies (as published on NAcertify.org), constitutes the entire agreement between the parties.
Acceptance
By submitting this application, vendor acknowledges and agrees that NACG may contact Vendor as necessary to process my application, administer certification or verification services, communicate compliance requirements, conduct audits or inspections, and provide required administrative notices. Vendor understands that NACG may also send limited service-related or informational communications. Vendor may opt out of non-essential communications in accordance with NACG’s Privacy Policy. By submitting an application, Vendor agrees to NACG collecting an annual fee only upon approval. Vendor acknowledges that he/she has read, understood, and agrees to this Agreement.
